Terms of Service

The agreement between you and Panalo Solutions for using Panalo.ai.

1. Who we are

Panalo.ai (the "Service") is operated by Panalo Solutions ("Panalo," "we," "us," or "our"), a company based in Cebu, Philippines. These Terms of Service ("Terms") govern your access to and use of Panalo.ai, including our website, dashboard, AI features, and human-agent services.

2. Eligibility

To use Panalo.ai, you must:

• Be at least 18 years old.
• Have the legal capacity to enter into a binding contract.
• Not be barred from using the Service under the laws of your jurisdiction.
• If using on behalf of a company, have authority to bind that company to these Terms.

3. Your account

To use most features, you must create an account. You agree to:

• Provide accurate, current information.
• Keep your password secure and not share it.
• Be responsible for all activity that happens under your account.
• Notify us promptly of any unauthorized access.

We may suspend or terminate accounts that violate these Terms, our policies, or applicable law.

4. The service

What Panalo.ai does

Panalo.ai is a task-delegation platform that combines artificial intelligence with human agents based in the Philippines. You submit tasks; we route them through AI first, and where AI cannot deliver a satisfactory result (or where you choose), a human agent handles them.

AI output is best-effort

AI responses are generated by automated systems and may contain inaccuracies, biases, or errors. You should review AI-generated output before relying on it for any decision with real-world consequences — particularly legal, medical, financial, or business-critical matters. Panalo.ai is not a substitute for professional advice in any specialized field.

Human-agent work

Our agents will use reasonable skill and care to complete tasks you assign. However, we cannot guarantee specific outcomes — we provide a service, not a result.

Service availability

We aim for high uptime but do not guarantee uninterrupted service. We may suspend the Service for maintenance, security incidents, or other operational reasons, with or without notice.

5. Acceptable use

You agree NOT to use Panalo.ai to:

• Submit tasks involving illegal activity, fraud, or harm to others.
• Generate content that infringes intellectual property, defames, harasses, or threatens any person.
• Create or distribute malware, spyware, or other malicious code.
• Attempt to reverse-engineer, scrape, or extract our AI models, codebase, or training data.
• Interfere with the operation of the Service, other users, or our infrastructure.
• Submit content you do not have the right to share.
• Use the Service to generate spam, phishing emails, or unsolicited bulk messages.
• Bypass any security, authentication, or rate-limiting measures.
• Misrepresent yourself or impersonate any other person or entity.
• Submit personal data about third parties without lawful basis and their consent.

We may remove content or terminate accounts that violate these rules, with or without notice.

6. Your content

Ownership

You retain ownership of the content you submit to Panalo.ai (task descriptions, files, messages, etc.). We do not claim any rights in your content beyond what is necessary to operate the Service.

License to us

By submitting content, you grant Panalo Solutions a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display that content solely for the purpose of providing and improving the Service to you. This license ends when you delete your content or terminate your account, except as needed for backups, legal compliance, or anonymized improvements (see Section 7).

Your responsibilities

• You confirm you have the rights necessary to submit each piece of content.
• You are solely responsible for the legality, accuracy, and appropriateness of content you submit.
• You will not submit confidential information you are not authorized to share (for example, third-party trade secrets).

7. AI training

We may use anonymized and aggregated data derived from your use of the Service to improve our AI systems. "Anonymized" means data with personal and identifying details removed, such that it cannot reasonably be linked back to you.

We do not sell your personal data or train external AI models with your identifiable content. For details, see our Privacy Policy. You may opt out of anonymized data being used for AI improvement by emailing us.

8. Payments and subscriptions

Pricing

Pricing for plans is shown on our website at signup and may change from time to time. If we change pricing for a recurring plan, we will notify you in advance and the new price will take effect at your next billing cycle.

Billing

• Payments are processed by Stripe, a third-party payment processor. You agree to Stripe's terms when providing card information.
• Subscriptions auto-renew until you cancel.
• You can cancel anytime from your account settings; cancellations take effect at the end of the current billing period.

Refunds

All payments are non-refundable except where required by law. If you believe you've been charged in error, contact us within 14 days and we will review the case in good faith.

Taxes

Prices shown do not include taxes. You are responsible for any taxes, duties, or fees imposed by your jurisdiction in connection with your use of the Service.

9. Intellectual property

The Panalo.ai platform — including software, design, branding, AI prompts, workflows, and documentation — is owned by Panalo Solutions and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not:

• Copy, modify, or create derivative works of any part of the Service.
• Reverse-engineer or attempt to extract source code.
• Use our branding (logos, trademarks, name) without prior written permission.

10. Privacy

Your privacy is important. Our Privacy Policy describes what data we collect, how we use it, and your rights. By using Panalo.ai, you agree to the practices described in that policy.

11. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Panalo Solutions disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that:

• The Service will meet your specific requirements.
• The Service will be uninterrupted, secure, or error-free.
• AI-generated output will be accurate, complete, or suitable for your purposes.
• Any errors will be corrected.

You use Panalo.ai at your own risk.

12. Limitation of liability

To the maximum extent permitted by law, in no event will Panalo Solutions, its officers, directors, employees, or agents be liable to you for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, loss of business, or business interruption — arising out of or in connection with your use of (or inability to use) the Service.

Our total cumulative liability to you for any claim arising out of or related to these Terms or the Service is limited to the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Panalo Solutions and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your violation of any third party's rights, including intellectual property rights.
• Content you submit to or through the Service.

14. Termination

Either party may terminate this agreement at any time. You can close your account from settings or by emailing us. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or for other legitimate business reasons.

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and governing law) will continue to apply.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except where mandatory consumer-protection or data-protection laws in your country of residence override this choice (for example, the Philippine Data Privacy Act, EU GDPR, or California consumer-protection laws may grant rights that cannot be waived by contract).

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 60 days, disputes will be resolved by binding arbitration administered under the rules of an internationally recognized arbitration body, with arbitration conducted in English. The location of arbitration will be agreed upon by both parties or, failing agreement, by the arbitrator.

You waive any right to a jury trial and to participate in a class action against us, except where such waivers are prohibited by law.

16. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service. Continued use of Panalo.ai after the changes take effect means you accept the updated Terms. If you don't agree to the changes, you may close your account.

17. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Panalo regarding the Service, superseding any prior agreements.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Severability. If any provision is found unenforceable, the rest of the Terms remain in effect.
• Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate, acquirer, or successor in connection with a corporate transaction.
• No agency. No agency, partnership, joint venture, or employment relationship is created by these Terms.
• Notices. Notices to us should be sent to the email below; notices to you may be sent to the email on your account.
